General terms

These Terms of Service govern access to and use of Auralithe's website, software, and professional services related to AI software development and business AI integration. By engaging with Auralithe or using the services described on auralithe.ufalite.club, you agree to these terms. Where specific service agreements or statements of work exist, those documents govern to the extent they conflict with these terms.

Eligibility and permitted use

Access to Auralithe services is available to legally capable individuals and organizations that can form binding contracts under applicable law. Use of the services must comply with all local laws and industry-specific regulations relevant to the client's operations in Singapore and other jurisdictions where services are delivered.

Users must be at least 18 years old or have authority from a parent, guardian, or employer to enter into contracts on behalf of an organization. Auralithe's services are targeted at professionals and businesses, not minors.

You may only use Auralithe services for lawful business purposes. The services must not be used to develop or deploy systems for unlawful activities, inappropriate profiling, or automated decisions that contravene applicable rights frameworks or human rights standards.

Certain features, integrations, or export-controlled technologies may be restricted in some jurisdictions. It is your responsibility to ensure compliance with local laws and export controls when accessing, deploying, or redistributing Auralithe software or deliverables.

Account responsibilities

When creating an account for Auralithe online services or provisioned platforms, you agree to provide accurate, current account information. Accounts created for enterprise clients must reflect authorized representatives and lawful billing details.

You are responsible for keeping account information accurate and up to date. Auralithe may suspend communications or access where accounts contain outdated or suspicious information until verification is completed.

You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. Promptly notify Auralithe if you suspect unauthorized access. We implement industry-standard security controls but require clients to follow secure practices on their side.

Accounts, credentials, and subscriptions are non-transferable without prior written consent from Auralithe. Organization-level transfers require an executed agreement and verification procedures.

If you suspect your account has been compromised, contact [email protected] immediately with details of the incident. We will work with you to contain risks, perform remediation steps, and advise on recovery.

Auralithe may suspend or limit access to services for accounts that violate these terms, present security risks, or engage in abuse. Suspension may be temporary while issues are contribute or permanent if required by law or contractual obligations.

Services and deliverables

Auralithe provides consulting, bespoke AI software development, system integration, model deployment, and advisory services to help organizations adopt and operationalize AI. Scope, timelines, and deliverables are defined in individual statements of work or contracting documents.

Project scope, milestones, and technical specifications may be amended by mutual written agreement. For platform or managed services, Auralithe may update features or interfaces in the ordinary course; customers will be notified of material changes that affect service operation.

Auralithe targets robust service availability using resilient infrastructure and operational practices. Availability commitments, if any, are defined in service-level agreements in executed contracts. Scheduled maintenance windows will be communicated in advance when practicable.

Usage rules and acceptable conduct

To protect the integrity of our services and clients, users must follow these core rules and prohibitions when accessing Auralithe systems or software.

  • Do not attempt unauthorized access, scanning, or exploitation of Auralithe systems or other clients' services.
  • Do not submit or process personal data in ways that conflict with applicable privacy laws unless appropriate legal bases and safeguards are in place.
  • Do not use Auralithe services to develop or deploy systems intended for unlawful surveillance, discrimination, or other harmful activities.
  • Maintain accurate and up-to-date credentials and contact information; report incidents promptly.
  • Respect third-party intellectual property and licensing terms for any assets integrated into Auralithe projects.
  • Comply with export controls, sanctions, and local rules when sharing models, datasets, or software components across borders.
  • Cooperate with security and compliance inquiries related to incidents or audits when reasonably requested by Auralithe.

User content and contributions

Clients and users may submit data, code, training material, or other content to Auralithe as part of engagements. These contributions are collectively referred to as 'User Content'.

Unless otherwise agreed in a written contract, users retain ownership of their User Content. Auralithe will only use User Content to perform contracted services and for the purposes permitted under the applicable agreement.

By providing User Content for integration or model training, you grant Auralithe a limited, non-exclusive, revocable license to use, reproduce, and process that content solely to deliver the contracted services. Any broader licensing or reuse will be subject to separate written agreement.

Clients are responsible for obtaining necessary rights, consents, and lawful bases for any User Content provided to Auralithe, including training data, personal data, and third-party materials.

Where contractual arrangements or applicable law require removal or deletion of User Content, Auralithe will comply within the agreed timelines and provide confirmation once actions are completed, subject to retention obligations for audit or legal purposes.

Intellectual property

Intellectual property rights in Auralithe-originated software, frameworks, and proprietary tooling remain with Auralithe unless an agreement states otherwise. Deliverables developed under custom contracts may be assigned or licensed as specified in that contract.

  • You may not reverse engineer, decompile, or attempt to derive source code from Auralithe proprietary software except to the extent expressly permitted by applicable law.
  • You may not remove or alter Auralithe activity, copyright notices, or licensing legends from any deliverables or software without written permission.
  • Any third-party open-source components included in deliverables are governed by their respective licenses; their terms prevail for those components.

Paid services, billing and subscriptions

Paid services include consultancy, custom development, managed deployments, and subscription-based platform services. Specific pricing, billing cycles, and service descriptions are detailed in quotes or contracts provided to clients.

Pricing for bespoke engagements is based on agreed scope, resource allocation, and project timelines. Subscription pricing for platform services is specified in order documents or service agreements and may vary by tier, usage, or integration complexity.

Invoices are payable in accordance with the payment terms stated in contracts. Accepted payment methods will be listed on invoices. Overdue payments may result in suspension of services until payment is made or alternate arrangements are agreed.

Subscription services renew according to the billing frequency set forth in the order. Clients may terminate subscriptions as described in the applicable agreement; termination may not automatically entitle clients to data export unless specified.

Refund and credit policies are set out in individual contracts. In the absence of a specific contract clause, refunds are considered case-by-case based on the circumstances and documented evidence of material non-performance.

Cancellation procedures for projects or subscriptions are governed by contractual terms and any applicable notice periods. Early termination may incur charges for work completed, committed resources, and non-recoverable costs.

Clients are responsible for applicable taxes, duties, and government charges arising from purchases of Auralithe services. Auralithe will itemize taxes on invoices where required by law.

Auralithe may adjust pricing for platform or subscription services with prior notice as specified in agreements. For custom engagements, pricing changes require mutual written agreement.

Non-payment may result in suspension or cessation of services and potential collection actions. Auralithe will endeavor to provide notice and opportunities to remediate outstanding balances before escalating.

Disclaimer

Auralithe provides services and information on an as-is basis to support enterprise AI adoption. Technical outcomes depend on data quality, client cooperation, and external conditions. Statements about potential benefits or typical outcomes are illustrative and should not be interpreted as promises of specific business results.

Limitation of liability

To the fullest extent permitted by law, Auralithe's aggregate liability for claims arising from these terms or services is limited to direct damages up to the total amount paid by the client for the relevant services in the preceding 12 months. Auralithe is not liable for indirect, consequential, or punitive damages.

Third-party services and integrations

Third-party products, libraries, cloud platforms, or data providers used as part of Auralithe solutions are subject to their own terms. Auralithe disclaims responsibility for third-party service availability and compliance beyond our integration obligations.

Termination and suspension

Either party may terminate a services agreement for material breach that remains uncured after a specified cure period, or as otherwise provided in the contract. Termination does not absolve obligations accrued prior to termination, including payment obligations.

Upon termination, Auralithe will cease providing services and, subject to contract terms, return or delete client data following agreed procedures. Post-termination assistance, if any, will be provided under a separate transition agreement and may incur charges.

Privacy and data protection

Auralithe processes personal data in accordance with its privacy policy and applicable data protection laws. For engagements involving personal data, data processing terms and appropriate technical and organizational measures will be detailed in contracting documents.

Communications and notices

Official communications, notices, and invoices will be sent to the primary contact or billing address on file. Electronic notices are effective when sent and are considered delivered if sent to the email address provided by the client.

Amendments to the terms

Auralithe may update these terms to reflect changes in law or business operations, with notice provided on the website and, where appropriate, directly to clients. Continued use after such changes constitutes acceptance of the updated terms.

Applicable law

These terms are governed by the laws applicable to the parties under the governing law clause in executed contracts. For engagements with Singapore-based entities, Singapore law will typically apply unless otherwise agreed.

Dispute resolution

Parties should seek to resolve disputes through good-faith negotiation and escalation between designated representatives. If unresolved, disputes will be governed by the dispute resolution process set out in the governing contract, which may include mediation or arbitration.
